1. The use of Zeeng 2007 Ltd. ("Zeeng" or "Us" or "We" or "Our") website ("the Website"), and all the contents and services included in it, testifies your irrevocable and absolute consent to these Terms and Conditions.

2. These Terms and Conditions may be updated by Us from time to time upon Our sole discretion and without any notice to you, therefore We advise you to carefully read these Terms and Conditions from time to time in order to be updated on the new additions and changes We have made on it.

Website Services

3. Zeeng Website provides users with the possibility to watch varied and rich collection of on line, on demand, video and audio contents against payment. That content can be available to you in one or more of the ways herein described:

1. Pay per view – a service allowing you to order and watch a particular program and pay for it a certain fee. You can watch the program ordered for an unlimited number of times during the 30 days following the order. After that, a new order and a new payment shall be required.

2. Pay per period – a service allowing you to order a channel or a package of channels ("Package") for a certain limited period (usually one month unless otherwise specifically detailed on the Website), and pay a periodic fee for the channel or Package ordered. During that period you can access and view the channel or Package that you have subscribed to, for an unlimited number of times.

3. Free trial content – from time to time upon Our sole discretion, We may offer you free trial content for certain limited periods, as published on the Website. Such content will be available free of charge, and subject to limitation which will be outlined on the Website.

4. The Website content and services are for entertainment purposes only.

5. It is hereby emphasized that not all content of Website is appropriate for all age viewers. Minors should only enter the Website with parental permission. The access of minors to the Website and their use of the Website is upon their parents complete and sole responsibility.

License to Use the Website

6. Subject to your full compliance with these Terms and Conditions, Zeeng hereby grants you a limited, non exclusive, non commercial, personal, revocable, non assignable and non transferable license to download to view a single copy of any content, channel or a package of channels, against payment for this use as further detailed.

It is clarified that at any given time only one computer can have access to the Website with your individual details (regardless of this computer's location).

7. In order to use the Website you must obtain and maintain all equipment necessary (such as: computer, phone, etc.) and access to the internet, and pay any service fees related with such equipment and internet access. The full responsibility to obtain and maintain such equipment and internet access is completely upon you.

8. In order to test your ability to use the Website and watch the video content, Zeeng provides free demonstrations video streams. Before downloading or subscribing any of Our content you are required to test your ability to receive this content using these free demonstration video streams. Zeeng will not refund any payment for reasons concerning the ability or disability to receive a satisfactory video stream or the quality of transmission.

9. Username and Password

To enable you to use the Website and access the Website services and contents, We may issue you a username and/or a password. Your username and password are strictly confidential, therefore you must hold them secure and not allow other people to have access to them or use them. We shall not be responsible for any unauthorized or misappropriate use of your username and password by any third party whatsoever.

10. Commercial Use

The Website is designated for personal use only, and no commercial use of it is permitted, unless otherwise agreed in writing by Zeeng. Therefore, you hereby commit not to make any commercial use whatsoever of the Website, its content or any element connected to it.

Any rights not expressly granted to you by Zeeng in these Terms and Conditions are reserved. Any use whatsoever of the Website, its contents, services or information, in whole or in part, that is not explicitly permitted in these Terms and Conditions, is strictly prohibited.

Subscription, Prices and Payments

Subscription

12. In order to use the Website services you have to register and subscribe to the contents, channels or packages offered, according to your choice.

13. Upon your initial registration to the Website services, you will receive an email notice, to the e-mail address you have provided, which will detail your username and password, and the procedure to cancel your subscription.

Prices and Payments

14. The Website services and contents are available in a variety of prices, as specifically detailed on the Website. We commit that the prices We charge for the content / channel / package ordered by you, will be clearly marked on the subscription page you fill.

15. Fees and surcharges can be updated or changed by Zeeng from time to time and additional fees and surcharges can be levied at any time, according to Our sole discretion. In any such case a notice will be posted on the Website, a reasonable time before such update or change will take place.

16. Any payment required in order to subscribe and watch the Website content, must be made using a valid credit card accepted by Zeeng. The subscription fee will be charged only after you submit such credit card information.

17. The payments required in order to use the Website services include the charge per view and/or per period, as detailed on the Website, applicable taxes, and other charges imposed on your account in order to access these services.

18. Terms of payment will be according to your choice of subscription as described in section 3 above:

1. Pay per view – the payment is for a certain program for a particular view. Once subscribed to a pay per view content, We will bill your credit card for each of the contents you order, every time you order them.

Once purchasing a pay per view content, We will charge your credit card on the date of purchase, after such payment you can not cancel the subscription and the fee paid shall be non refundable.

2. Pay per period - the payment is for a certain limited period (usually one month) for the channel or package you have ordered. Once subscribed to one of Our pay per period offerings, We will continue to charge your account automatically for further renewals of the periodic subscription, until either you expressly terminate your subscription or We terminate it, whichever comes first. The renewal fee shall be the same as the previous one, unless otherwise notified in advance.

Once purchasing pay per period content, We will begin charging your credit card on the day of subscription, and We will continue to charge your credit card on the same date of each subsequent month, or, if such date do not exist in certain future months, on the closest date afterwards (for example, if you subscribed on January 31^st, on account of February, your credit card will be charged on march 1^st, etc.).

3. Free trial content – will be available for watching subject to fulfilling the following:

1. While subscribing to the service you agree to submit Zeeng with valid credit card information, which will be used for collateral purpose only. The free trial period will commence immediately after submitting such information.

2. You agree that after the free trial period has ended, Zeeng shall be entitled to automatically charge your account for further renewals of your subscription, unless you have terminated the subscription, and subject to sections 19-22 below. In case We will not be able to charge your account for any reason, We reserve Our right to terminate your subscription to all free trial content on the Website.

Termination and Refund

19. Subject to the provisions of sections 20-22 below, you can terminate your subscription to the Website at any time, simply by sending Us an email to support@zeeng.com.

After cancelling your subscription, as mentioned in this section, you can re-subscribe to the Website at any time.

20. It is emphasized that such termination will be valid only at the end of the period you were subscribed to (for example: in case of subscribing on a pay per month basis, once terminating the subscription in the middle of a month you will stay connected until the end of this month and will be charged for the whole month). No refunds will be paid in the middle of a subscription period.

21. We reserve Our right to suspend, restrict, cancel or terminate your access to any of the Website services, in whole or in part, without any further notice, in case of a breach or an expected breach of these Terms and Conditions, including without limitation, if We will not be able to charge your account. In such case We reserve the right to refuse to allow you any future access to the Website services.

22. No refunds will be made regarding per view or per period content, that was already charged. Therefore, before subscribing to any content on the Website, We recommend that you carefully examine the content itself and the quality of your viewing experience, by using the free demonstrations video stream We offer.

Intellectual property ownership

23. all the Website content, including without limitation, videos, films, audio, audio-visual works, graphics, texts, images, designs, trademarks, service marks, logos, and all other copyrightable material, including source and object code, (collectively in this section: "the Content"), are the property of Zeeng, it's licensors, it's content distributors or any other third party that permitted Zeeng to use such Content, and are protected by applicable domestic and international copyrights and other intellectual property rights.

24. Unless elsewhere specifically permitted, the Website and the Content are designated for personal use only.

25. The copying, recording, changing, performing, reproduction, rearrangement, editing, creating derivative works, distribution, redistribution, sales, leasing, renting, broadcasting, publicly displaying, modification, uploading, downloading, exchanging, posting, transmitting, publication or any other way of exploiting the content, by you or anyone on your behalf, directly or indirectly, is strictly prohibited.

Commercial Content and Information

26. The Website include commercial content or information, including, ads and commercials, handed for advertising on behalf of different advertisers offering for purchase certain products or services.

27. Zeeng is not responsible for the commercial content and information published in the Website. Zeeng does not check nor does it confirm or edit the content of such commercials or their authentication. Advertising such ads is the responsibility of the advertisers alone, and any outcome caused by their use or reliance upon applies completely and exclusively on them.

28. Advertising the commercial content and information in the Website does not constitute any recommendation or encouragement to purchase or use the services or products offered in those ads.

29. Any transaction made due to commercial content or information advertised in the Website shall be agreed upon directly between you and the relevant advertiser. Zeeng is not a part to such transaction and it will not bare any responsibility for its outcome.

Disclaimer of Warranties and Limitations on Liability

30. Zeeng or any of its licensors or content providers do not warrant or make no representation, express or implied, regarding the compliance, authenticity, accuracy, availability, lack of viruses or other harmful components and completeness of all services and contents included in the Website.

In such case Zeeng liability will be limited to the fullest extent possible permitted.

Changes in the Website

36. Zeeng will not be obligated to offer and supply certain contents or services, and We may cease to offer, at any time and upon Our sole discretion, any content or service that We used to offer. Your only right with respect to any dissatisfaction with any changes We make regarding, without limitation, the Website content and the prices and fees We charge, is to terminate your subscription to the Website services, subject to all other provisions contained in these Terms and Conditions, including those mentioned in sections 20-22 above.

37. Zeeng may, at any time and upon its sole discretion, improve, omit or change in any way the Website, its contents and services. You hereby agree that you will not have any claim or demand regarding such changes or any problem connected to such changes.

Privacy Policy

38. We may ask you to provide Us with certain private information that could reasonably be used to identify you personally, such as financial information, private e-mail address etc, and certain demographic information. We may collect that information at various places on the Website, including your registration form.

39. Obviously, you may choose not to provide Us with such personal information, however, if you choose not to do so you may not be able to use some of the Website' features, services and contents.
